These Terms of Service ("Terms") govern your access to and use of the event.date website, mobile application, and related products and services (collectively, the "Services") provided by event.date ("event.date," "we," "us," or "our").

By accessing or using the Services, creating an account, purchasing tickets, starting a free trial, purchasing a subscription, or purchasing any other paid feature, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

Social, Dating, and Messaging Features

The Services may include social, profile, matching, discovery, messaging, chat, likes, matches, and other dating-related functionality. event.date does not guarantee:

You are solely responsible for your interactions with other users, whether online or offline. You agree to use good judgment and appropriate caution in all interactions with other users, including when communicating through chat or meeting in person.

Unless expressly stated otherwise in the Services, event.date does not conduct criminal background checks or comprehensive identity verification on users.

We may provide tools that allow users to communicate, report, block, or otherwise manage interactions with other users, but we do not guarantee that such tools will prevent all misconduct, harassment, fraud, or other harmful behavior.

User Content

The Services may permit you to upload, submit, post, transmit, or otherwise make available content, including profile information, photos, text, messages, feedback, and other materials ("User Content"). Messages, chat content, profile content, and other communications submitted through social or dating-related features are included within User Content.

You retain ownership of your User Content, subject to the rights you grant in these Terms.

By submitting or making available any User Content through the Services, you grant event.date a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, display, perform, distribute, and otherwise use that User Content as reasonably necessary to:

Messages and Communications Between Users

The Services may allow users to send messages, reactions, images, and other communications to one another through social or dating-related features ("Messages"). Messages are User Content for purposes of these Terms.

You are solely responsible for the Messages and other communications you send through the Services and for your interactions with other users. event.date does not guarantee that any Message will be delivered, received, accessed, retained, or kept confidential.

event.date may, but is not obligated to, review, monitor, preserve, access, disclose, restrict, or remove Messages or related content where reasonably necessary to:

Reporting, Moderation, and Enforcement

We may, but are not obligated to, monitor activity, review User Content, investigate complaints, reports, or suspected misconduct, and take action that we deem appropriate to protect users, third parties, or event.date.

Such actions may include removing content, limiting visibility, restricting features, restricting messaging, blocking user interactions, suspending accounts, terminating accounts, preserving information relevant to investigations, and reporting conduct to law enforcement or other authorities where appropriate.

Our moderation and enforcement decisions are made in our discretion. We are not obligated to disclose the details of investigations, internal reviews, or enforcement actions, and we do not guarantee that any reported content or conduct will be removed or addressed within any specific timeframe.

Ticket Marketplace; Events; Availability

event.date may provide a marketplace or intermediary platform that facilitates the purchase and sale of event tickets between buyers and third-party ticket sellers, brokers, marketplaces, providers, or fulfillers (collectively, "Ticket Sellers").

Unless expressly stated otherwise, event.date is not the seller, reseller, issuer, owner, primary ticketing provider, venue operator, organizer, promoter, performer, or producer of any ticket or event listed through the Services, and event.date is not a party to the actual ticket sale transaction between a buyer and a Ticket Seller.

Tickets made available through the Services may be obtained through the secondary market. As a result, ticket prices may be higher or lower than the face value printed on the ticket.

Event details, lineups, venues, dates, start times, seating, amenities, and availability may change without notice and are controlled by third parties. event.date does not guarantee the accuracy or completeness of event descriptions, schedules, ticket listings, or related information.

Ticket availability is not guaranteed until an order is confirmed and fulfilled. Listings may reflect tickets offered by individual Ticket Sellers, representations of available inventory, or offers to obtain tickets, and certain tickets may no longer be available at the time an order is processed.

Orders; Confirmation; Comparable Tickets

Ticket orders placed through the Services may be subject to review, confirmation, and acceptance by the applicable Ticket Seller before any buyer protection or guarantee applies.

If the originally requested tickets are unavailable, the applicable Ticket Seller may, where permitted by the order terms presented to you, fulfill your order with comparable or upgraded tickets.

If comparable or upgraded tickets are not available, your order may be rejected or canceled, and any amount charged for the unavailable tickets may be refunded in accordance with these Terms and applicable law.

The name printed on a ticket may differ from the name of the purchaser. Unless otherwise required by the venue, organizer, or applicable law, a difference between the purchaser's name and the name printed on the ticket does not by itself invalidate the ticket or prevent admission.

Buyer Guarantee

Where a buyer guarantee is offered in connection with a ticket order, such guarantee may be provided by the applicable Ticket Seller, broker, fulfiller, marketplace partner, or other third party, and may be subject to additional terms, conditions, procedures, and exclusions established by that party.

event.date does not independently issue or underwrite any ticket guarantee unless expressly stated otherwise.

Where an applicable buyer guarantee covers a confirmed order and you do not receive valid tickets in time to attend the event, you may be eligible for a refund or other remedy as determined under the terms of that applicable guarantee.

Any claim under a buyer guarantee may be subject to:

To the fullest extent permitted by law, any applicable buyer guarantee remedy is your sole and exclusive remedy for an eligible failure to deliver valid tickets in time for the event, except where additional remedies are required by law.

Cancellations; Postponements; Rescheduled Events; All Sales Final

All ticket sales are final. Except as expressly stated in these Terms or required by law, tickets are not eligible for cancellation, return, exchange, or refund.

If an event is cancelled and not rescheduled, you may be eligible for a refund of the ticket purchase price, less any non-refundable delivery, fulfillment, or similar charges to the extent permitted by law and disclosed at the time of purchase.

If an event is postponed or rescheduled and the original tickets remain valid for the rescheduled event, your order will generally not be eligible for a refund.

event.date is not responsible for event cancellations, postponements, reschedulings, venue changes, lineup changes, or other event modifications made by third parties.

If a Ticket Seller, marketplace, venue, organizer, merchant of record, or other third party offers a refund, credit, voucher, replacement, or other remedy, additional terms may apply.

Delivery; Electronic Transfer; Access

Tickets may be delivered by electronic transfer, downloadable tickets, mobile delivery, or other digital methods made available through the Services or by the applicable Ticket Seller.

Delivery times may vary. Tickets may not be immediately available after purchase, including for events far in advance, tickets not yet in hand, delayed release inventory, fraud review, or other operational reasons.

You are responsible for:

Neither event.date nor the applicable Ticket Seller will be responsible for failed delivery, access issues, or loss arising from inaccurate information provided by you, failure to follow instructions, failure to accept a ticket transfer, failure to check delivery communications, or failure to meet venue or transfer-system requirements.

Denied Entry; Venue Rules

You are responsible for complying with all venue rules, admission requirements, health and safety requirements, and codes of conduct applicable to an event.

If you are denied entry because of venue rules, your conduct, prohibited items, late arrival, identification issues, transfer-system issues caused by your failure to follow instructions, or other reasons not attributable to invalid tickets, you will not be entitled to a refund.

If you believe you were wrongfully denied entry because your tickets were invalid, you must contact us or the applicable support channel as soon as reasonably possible and provide any information reasonably requested, including written proof from the venue where available. Failure to timely report the issue and provide requested documentation may result in denial of your claim.

If, after investigation, event.date or the applicable Ticket Seller determines in its reasonable discretion that you were denied entry due to invalid tickets covered by an applicable buyer guarantee, your refund or other applicable remedy, if any, will be your sole remedy, except as otherwise required by law.

Subscriptions, Free Trials, Paid Features, and Billing

Certain features of the Services may require payment, including recurring subscriptions, free trials that convert into paid subscriptions, or paid access to premium functionality.

By purchasing or starting a subscription, free trial, or other paid feature, you agree to pay all applicable fees, taxes, and charges disclosed to you at the time of purchase or enrollment.

If you purchase or start an auto-renewable subscription through Apple's App Store:

Billing, cancellation, renewal, and refund processing for subscriptions purchased through Apple's App Store are subject to Apple's applicable terms, policies, and processes in addition to these Terms.

Except where required by law or by Apple's applicable rules, subscription and paid-feature fees are non-refundable once charged, and partial billing periods are not refundable or creditable.

We may change prices for subscriptions or paid features at any time to the extent permitted by applicable law and Apple's applicable platform rules.

Payments; Chargebacks

You agree to provide valid payment information and authorize the applicable merchant of record, Ticket Seller, payment processor, app marketplace, or other authorized payment intermediary to charge you for purchases made through the Services.

Charges may include ticket price, subscription fees, service fees, delivery fees, taxes, and other disclosed charges.

If a payment fails, is reversed, is disputed, or is reasonably suspected of being unauthorized or fraudulent, we or the applicable third party may suspend or revoke access to relevant features, content, or tickets.

If you initiate a chargeback or payment dispute in bad faith, or for a charge that is valid and not the result of fraud, event.date may suspend or terminate your account, cancel or revoke access to tickets or paid features where permitted, and pursue any remedies available under law.

Promotions, Referrals, Credits, and Incentives

event.date may from time to time offer promotions, referral programs, discounts, credits, vouchers, waitlist benefits, ambassador programs, or similar incentives.

Any such offer may be subject to additional terms, eligibility requirements, expiration dates, usage limitations, anti-abuse rules, and cancellation or modification at our discretion.

Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, apps, content, products, services, venues, organizers, artists, ticket providers, authentication providers, payment processors, and other third parties.

We do not control and are not responsible for the availability, policies, content, products, services, or practices of third parties. Your dealings with third parties are solely between you and the third party, except as otherwise expressly stated.

Intellectual Property

The Services, including all software, text, graphics, interfaces, trademarks, service marks, logos, designs, compilations, and other content made available by event.date, are owned by or licensed to event.date and are protected by intellectual property and other laws.

Except for the limited right to use the Services in accordance with these Terms, no right, title, or interest in or to the Services or event.date content is transferred to you.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, create derivative works from, or otherwise exploit any part of the Services except as expressly permitted by us in writing or by applicable law.

Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Services ("Feedback"), you grant event.date a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable right to use, modify, disclose, reproduce, distribute, and exploit such Feedback for any purpose without restriction or compensation to you.

Copyright Complaints

If you believe that content available through the Services infringes your copyright, you may send a notice to us at us@event.date with sufficient detail for us to review the claim, including:

event.date may remove or disable access to allegedly infringing content where appropriate.

Termination

You may stop using the Services at any time.

We may suspend, restrict, or terminate your access to all or part of the Services at any time, with or without notice, if we believe:

Upon termination, provisions of these Terms that by their nature should survive will survive, including provisions relating to licenses, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENT.DATE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Without limiting the foregoing, event.date does not warrant or guarantee:

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENT.DATE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by law, the total liability of event.date for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless event.date and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, damages, judgments, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

To the maximum extent permitted by law, you and event.date agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration, and not in court, except that either party may bring an individual claim in small claims court if it qualifies.

You and event.date agree that:

Before initiating arbitration, the party seeking relief will provide written notice of the dispute to the other party and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

If the dispute is not resolved informally, arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules. The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration provision, except to the extent prohibited by law.

Opt-Out Right. You may opt out of this arbitration agreement by sending written notice of your decision to opt out to us@event.date within thirty (30) days after you first accept these Terms, create an account, or first purchase a subscription, ticket, or other paid feature through the Services, whichever occurs first. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement.

If you timely opt out, neither you nor event.date will be bound by this arbitration provision, but all other provisions of these Terms will remain in effect.

If any portion of this section is found unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court, but the remainder of this section will remain in effect to the fullest extent permitted by law.

Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Delaware, without regard to conflict of laws principles, except to the extent superseded by applicable federal law or consumer protection law that cannot be waived.

Changes to the Terms

We may modify these Terms from time to time. When we do, we will post the updated Terms and update the Effective Date above.

If we make material changes, we may provide additional notice through the Services or by other means. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms, to the extent permitted by law.

General Terms

These Terms constitute the entire agreement between you and event.date regarding the Services, except as supplemented by any additional terms applicable to specific features, purchases, promotions, or third-party offerings.

If any provision of these Terms is held unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing transaction, or by operation of law.
